Keel Digital Solutions Countersues Ontario Over Skills Development Fund Misrepresentation

The Ontario government initiated legal action against Keel Digital Solutions, alleging fraudulent misrepresentation concerning a student mental health program. The province is now seeking damages for alleged overpayments resulting from Get A-Head Inc.’s claimed inflation of counseling session numbers, and it has referred the matter to the Ontario Provincial Police due to internal audit findings of “inconsistencies.”
In response, Keel Digital Solutions, the parent company, has filed a statement of defence and a counterclaim against the government. Seeking $98 million in damages, Keel attributes its financial losses to the government’s withheld payments and reputational harm, denying the fraud allegations and suggesting the government’s actions were designed to unfairly damage its credibility.
Ontario’s lawsuit contends that Keel inflated reported session counts and provided misleading quarterly reports through its subsidiary, Get A-Head Inc., leading to substantial overpayments under a provincial mental health program. The government maintains its allegations regarding the company’s accounting practices.
Keel counters that the government’s audit process was “deeply flawed” and secretive, and that the subsequent referral to police and public announcements were made with the intent to maliciously damage its reputation. The company asserts it is not capable of artificially inflating session numbers and that the government was fully aware of its reporting methods.
This lawsuit emerges against the backdrop of a broader controversy surrounding the Ministry of Labour’s $2.5-billion Skills Development Fund. An auditor general’s report found the fund operated unfairly and transparently, favoring applicants with lower bureaucratic rankings. Keel was one of the recipients scrutinized during this legislative session.
The Skills Development Fund program has drawn significant criticism, with Labour Minister David Piccini facing calls for his resignation from opposition parties. Questions about Keel’s $7.5-million grant have been raised, particularly after an earlier audit of their funding within a different ministry raised concerns, and media reports highlighted a potential connection between Keel’s lobbying and the minister’s personal network.
